1. Acceptance

By accessing roithink.com, submitting an intake form, booking a call, or engaging us for services, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you don't agree, please don't use the site or services.

If you're using ROIthink on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. About us & services

ROIthink is an AI-native agency offering branding, AI system implementation, CRMs, smart websites, mobile apps (iOS & Android), and related strategic services. The specific scope, deliverables, timeline, and price for any engagement are documented in a separate Statement of Work (SOW) or proposal that, once signed, prevails over these general Terms in case of conflict.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under the laws of your jurisdiction. By using our services you confirm both.

4. Acceptable use

You agree not to:

• Use ROIthink for anything illegal, deceptive, or harmful.
• Submit false, misleading, or stolen information through any of our forms.
• Reverse engineer, scrape, or attempt to gain unauthorized access to our systems.
• Interfere with the operation of the site (DoS attempts, malware injection, etc.).
• Use our services to spam, harass, or impersonate others.
• Bypass or disable any security or rate-limiting feature.

We reserve the right to suspend or terminate access for violations of this section without prior notice.

5. Intellectual property

Our IP

The ROIthink name, logo, website, written content, methodology frameworks, internal tools, and any pre-existing materials we bring to your project remain our property. We grant you a non-exclusive, non-transferable license to use them as part of the deliverables you've engaged us for.

Your IP & deliverables

Subject to full payment, the final, custom deliverables we create specifically for you (your brand identity, your custom code, your designs, your written copy) become your property upon delivery and final invoice payment. We retain the right to display the work in our portfolio unless otherwise agreed in writing.

Open-source & third-party components

We may incorporate open-source libraries, third-party APIs, and licensed assets into your deliverables. These remain governed by their original licenses, which we'll document in the project handoff.

6. Content you submit

By submitting content (form responses, files, brand assets, written input) to ROIthink, you:

• Confirm you have the rights to share it.
• Grant us a worldwide, royalty-free license to use it as needed to deliver your project (including making copies for collaboration with your approved team members).
• Accept that we may store it indefinitely as part of the project record (subject to deletion requests under our Privacy Policy).

You retain all ownership of your submitted content.

7. Third-party services

ROIthink integrates with services like Supabase, Google Workspace, Vercel, Zoom, and others. Use of those services through our platform is also subject to their respective terms. We are not responsible for outages, bugs, or policy changes from these third parties, though we'll work in good faith to mitigate impact on your project.

8. AI outputs

Some of our deliverables incorporate AI-generated or AI-assisted content. While we apply senior human review and quality controls, AI outputs can occasionally contain errors, hallucinations, or biases. You are responsible for the final review and approval of any deliverable before deploying it publicly. We disclaim liability for harm caused by use of AI-generated content that you've reviewed and approved.

9. Fees & payment

Engagement fees, payment terms, milestones, and refund policy are defined in the SOW or proposal you sign. Unless otherwise agreed:

• Invoices are due within 14 days of issuance.
• Late payments accrue 1.5% interest per month (or the maximum allowed by law).
• We may pause work on overdue accounts and resume upon payment.
• Deposits are non-refundable once work has begun.

10. Disclaimers

The site and our services are provided "as is" and "as available." We make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted or error-free. We don't guarantee specific business outcomes (revenue, traffic, conversions, etc.) — those depend on factors outside our control.

11. Limitation of liability

To the maximum extent permitted by law, ROIthink, its founders, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of our site or services.

Our total aggregate liability for any claim related to our services is limited to the amount you paid us under the relevant SOW in the 6 months preceding the claim, or USD $500, whichever is greater.

12. Indemnification

You agree to indemnify and hold ROIthink harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) content you submit to us; (c) your violation of these Terms; or (d) your infringement of any third-party right.

13. Term & termination

These Terms apply from the moment you start using ROIthink and continue until terminated.

You may stop using the services at any time. We may terminate or suspend access immediately if you violate these Terms or for any reason in our discretion. Sections that by their nature should survive termination (IP, liability, indemnification, governing law) survive.

14. Changes to these terms

We may update these Terms from time to time. We'll always update the "Last updated" date at the top. For material changes affecting active engagements, we'll notify you by email at least 14 days before the changes take effect. Continued use after changes constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved through:

1. Good-faith negotiation — we'll talk first. Email support@roithink.com describing the issue. We'll respond within 30 days.
2. Mediation — if negotiation fails, both parties agree to attempt non-binding mediation in Miami, FL.
3. Binding arbitration — if mediation fails, the dispute will be settled by binding arbitration administered by JAMS under its rules in Miami, FL. Judgment on the award may be entered in any court of competent jurisdiction.

You waive any right to participate in a class action against ROIthink.

2. Sobre nosotros y los servicios

ROIthink es una agencia AI-native que ofrece branding, implementación de sistemas de IA, CRMs, sitios web inteligentes, apps móviles (iOS y Android), y servicios estratégicos relacionados. El alcance específico, entregables, cronograma, y precio de cada proyecto se documentan en un Statement of Work (SOW) o propuesta separada que, una vez firmada, prevalece sobre estos Términos generales en caso de conflicto.

3. Elegibilidad

Debes tener al menos 18 años y capacidad para celebrar un contrato vinculante bajo las leyes de tu jurisdicción. Al usar nuestros servicios confirmas ambas condiciones.

4. Uso aceptable

Aceptas no:

• Usar ROIthink para algo ilegal, engañoso, o dañino.
• Enviar información falsa, engañosa, o robada por nuestros formularios.
• Hacer reverse engineering, scraping, o intentar acceso no autorizado a nuestros sistemas.
• Interferir con la operación del sitio (intentos de DoS, inyección de malware, etc.).
• Usar nuestros servicios para spam, acoso, o suplantación.
• Saltarse o deshabilitar features de seguridad o rate-limiting.

Nos reservamos el derecho de suspender o terminar el acceso por violaciones a esta sección sin aviso previo.

5. Propiedad intelectual

Nuestra IP

El nombre ROIthink, logo, sitio web, contenido escrito, frameworks metodológicos, herramientas internas, y cualquier material preexistente que aportemos al proyecto siguen siendo de nuestra propiedad. Te otorgamos una licencia no-exclusiva, no-transferible para usarlos como parte de los entregables que has contratado.

Tu IP y entregables

Sujeto al pago completo, los entregables finales personalizados que creamos específicamente para ti (tu identidad de marca, tu código custom, tus diseños, tu copy escrito) pasan a ser de tu propiedad al momento de la entrega y pago de la factura final. Nos reservamos el derecho de mostrar el trabajo en nuestro portafolio salvo acuerdo contrario por escrito.

Open-source y componentes de terceros

Podemos incorporar librerías open-source, APIs de terceros, y assets licenciados a tus entregables. Esos siguen regidos por sus licencias originales, que documentaremos en el handoff del proyecto.

6. Contenido que tú envías

Al enviar contenido (respuestas de formulario, archivos, brand assets, input escrito) a ROIthink:

• Confirmas que tienes los derechos para compartirlo.
• Nos otorgas una licencia mundial, libre de regalías, para usarlo como necesitemos para entregar tu proyecto (incluyendo hacer copias para colaboración con miembros aprobados de tu equipo).
• Aceptas que podemos almacenarlo indefinidamente como parte del registro del proyecto (sujeto a solicitudes de eliminación bajo nuestra Política de Privacidad).

Mantienes toda la propiedad de tu contenido enviado.

7. Servicios de terceros

ROIthink se integra con servicios como Supabase, Google Workspace, Vercel, Zoom, y otros. El uso de esos servicios a través de nuestra plataforma también está sujeto a sus términos respectivos. No somos responsables de outages, bugs, o cambios de política de terceros, aunque trabajaremos de buena fe para mitigar el impacto en tu proyecto.

8. Outputs de IA

Algunos de nuestros entregables incorporan contenido generado o asistido por IA. Aunque aplicamos revisión humana senior y controles de calidad, los outputs de IA pueden ocasionalmente contener errores, alucinaciones, o sesgos. Eres responsable de la revisión y aprobación final de cualquier entregable antes de desplegarlo públicamente. Renunciamos a responsabilidad por daños causados por el uso de contenido generado por IA que tú hayas revisado y aprobado.

9. Tarifas y pago

Los honorarios, términos de pago, milestones, y política de reembolso se definen en el SOW o propuesta que firmes. Salvo acuerdo contrario:

• Las facturas se pagan dentro de 14 días tras emisión.
• Pagos atrasados acumulan 1.5% de interés mensual (o el máximo permitido por ley).
• Podemos pausar el trabajo en cuentas vencidas y reanudar al recibir pago.
• Los depósitos no son reembolsables una vez iniciado el trabajo.

10. Renuncias de garantía

El sitio y nuestros servicios se proveen "tal cual" y "según disponibilidad." No otorgamos garantías de ningún tipo, expresas o implícitas, incluyendo comerciabilidad, idoneidad para un propósito particular, no-infracción, o que el servicio será ininterrumpido o libre de errores. No garantizamos resultados específicos de negocio (ingresos, tráfico, conversiones, etc.) — esos dependen de factores fuera de nuestro control.

11. Limitación de responsabilidad

En la máxima medida permitida por la ley, ROIthink, sus fundadores, empleados, y contratistas no serán responsables por daños indirectos, incidentales, especiales, consecuenciales, o punitivos — incluyendo pérdida de ganancias, pérdida de datos, o interrupción de negocio — derivados del uso de nuestro sitio o servicios.

Nuestra responsabilidad total agregada por cualquier reclamo relacionado a nuestros servicios se limita al monto que nos pagaste bajo el SOW relevante en los 6 meses anteriores al reclamo, o USD $500, lo que sea mayor.

12. Indemnización

Aceptas indemnizar y mantener indemne a ROIthink de cualquier reclamo, demanda, o gasto (incluyendo honorarios razonables de abogados) derivados de: (a) tu uso de nuestros servicios; (b) contenido que nos envíes; (c) tu violación de estos Términos; o (d) tu infracción de cualquier derecho de tercero.

13. Vigencia y terminación

Estos Términos aplican desde el momento que empiezas a usar ROIthink y continúan hasta que se terminen.

Puedes dejar de usar los servicios cuando quieras. Podemos terminar o suspender acceso inmediatamente si violas estos Términos o por cualquier razón a nuestra discreción. Las secciones que por su naturaleza deben sobrevivir a la terminación (IP, responsabilidad, indemnización, ley aplicable) sobreviven.

14. Cambios a estos términos

Podemos actualizar estos Términos de tiempo en tiempo. Siempre actualizaremos la fecha "Última actualización" arriba. Para cambios materiales que afecten engagements activos, te notificaremos por email al menos 14 días antes de que entren en vigor. El uso continuo después de los cambios constituye aceptación.

15. Ley aplicable y disputas

Estos Términos se rigen por las leyes del Estado de Florida, EE.UU., sin consideración a principios de conflicto de leyes. Cualquier disputa derivada o relacionada a estos Términos o a nuestros servicios se resolverá mediante:

1. Negociación de buena fe — primero hablamos. Escribe a support@roithink.com describiendo el problema. Respondemos dentro de 30 días.
2. Mediación — si la negociación falla, ambas partes acuerdan intentar mediación no-vinculante en Miami, FL.
3. Arbitraje vinculante — si la mediación falla, la disputa se resolverá por arbitraje vinculante administrado por JAMS bajo sus reglas en Miami, FL. La sentencia sobre el laudo puede ser registrada en cualquier corte con jurisdicción competente.

Renuncias a cualquier derecho de participar en una acción colectiva contra ROIthink.
